4. Payment Terms
4.1 Pricing

5. Intellectual Property

5.2 Deliverables
Upon full payment, you receive full ownership of the final deliverables, excluding:
- Third-party components with separate licenses
- Our proprietary frameworks and tools
- Open-source software components
5.3 Portfolio Rights
We retain the right to display completed work in our portfolio and marketing materials.
6. Project Timeline and Delays
Project timelines are estimates based on the information provided. Delays may occur due to:
- Client response times exceeding 48 hours
- Changes to project scope
- Unforeseen technical challenges
- Third-party dependencies
We are not liable for delays beyond our reasonable control.
7. Revisions and Changes
Each project includes:
- Websites: 2 rounds of revisions after initial delivery
- Design: 3 concepts with 2 revisions each
- Development: Bug fixes for 30 days post-launch
Additional revisions or changes to scope may incur additional charges.
8. Service Level Agreement (Hosting)
For hosting services, we guarantee:
- 99.9% uptime (excluding scheduled maintenance)
- 24/7 server monitoring
- Daily backups (30-day retention)
- 24-hour response time for critical issues
Disclaimer: We are not responsible for website security breaches resulting from weak passwords, outdated software, or client negligence.
9. Termination
Either party may terminate a project:
- By Client: With written notice, subject to payment for work completed
- By Clear-Designs: For non-payment, breach of terms, or abusive behavior
Upon termination, you will receive all completed work and source files.
10. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for indirect, incidental, or consequential damages
- Our total liability shall not exceed the amount paid for services
- We are not liable for third-party services or components
11. Indemnification
You agree to indemnify and hold harmless Clear-Designs from any claims, damages, or expenses arising from:
- Your use of our services
- Your violation of these Terms
- Your infringement of third-party rights
